These Terms and Conditions ("Terms") are a legally binding agreement between you ("you" or "Licensee") and ShadcnDesign ("we", "us" or "Company").

The Terms cover this website and all our products: the shadcn/ui kit for Figma (the "Figma Kit"), Pro Blocks, Coded Templates, Agent Skills, the Figma to shadcn/ui plugin and DS Manager (together, the "Products"). When you visit the website or buy, download or use any of the Products, you agree to these Terms, to all applicable laws and regulations, and to our Licensing agreement, which says what the license for each Product allows. You are responsible for complying with any local laws that apply to you.

The Academy is free learning material on this website. These Terms apply to it as they apply to the rest of the website.

General

Purchases and payments

Polar processes our payments and acts as the merchant of record for your order. Polar may add applicable taxes, such as VAT or sales tax, at checkout. The price you pay is the one shown at checkout.

We may refuse or cancel your order, change your access or revoke your license at our discretion. We may do this if we suspect fraud or an unauthorized or illegal transaction, or if we find a breach of these Terms or the Licensing agreement.

Intellectual property

The Products and the website, with their original content, features and functionality, are and will remain the exclusive property of ShadcnDesign. This does not cover content you own under these Terms, such as your DS Manager design systems, or third-party material that comes under its own license. Copyright, trademark and other laws of the United States and other countries protect the Products. You may not use our trademarks or trade dress with any product or service without our prior written consent.

Links to other websites

The website and the Products may link to third-party websites or services that ShadcnDesign does not own or control, such as external documentation or tutorials.

ShadcnDesign has no control over, and takes no responsibility for, the content, privacy policies or practices of any third-party websites or services. We make no warranty about the offerings of these companies or people or their websites.

You agree that ShadcnDesign is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of, or reliance on, any content, goods or services available on or through those websites or services.

We advise you to read the terms and conditions and privacy policies of any third-party website or service you visit.

Termination

We may terminate or suspend your account and your access to the Products immediately, without prior notice or liability, at our sole discretion, for any reason, including a breach of these Terms.

If you want to end your relationship with us, you can stop using the Products. For DS Manager accounts, see Deleting your account.

All provisions of these Terms that by their nature should survive termination will survive it, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to defend, indemnify and hold harmless ShadcnDesign and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) that result from or arise out of: a) your use of and access to the Products, by you or by any person using your account and password; b) a breach of these Terms; or c) content you post, publish or share through the Products.

Limitation of liability

In no event will ShadcnDesign, or its directors, employees, partners, agents, suppliers or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use, goodwill or other intangible losses, resulting from: (i) your access to, use of, or inability to access or use the Products; (ii) any conduct or content of any third party on the Products; (iii) any content obtained from the Products; and (iv) unauthorized access to, use of or alteration of your transmissions or content. This applies whether the claim is based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we were told such damage was possible, and even if a remedy in these Terms fails of its essential purpose.

Disclaimer

You use the Products at your sole risk. We provide the Products "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

ShadcnDesign, its subsidiaries, affiliates and licensors do not warrant that: a) the Products will work without interruption, securely, or at any particular time or place; b) any errors or defects will be corrected; c) the Products are free of viruses or other harmful components; or d) the results of using the Products will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing law

The laws of Poland govern these Terms, without regard to their conflict of law provisions.

If we don't enforce a right or provision of these Terms, that is not a waiver of the right or provision. If a court holds any provision of these Terms invalid or unenforceable, the rest of the Terms stay in effect. These Terms are the entire agreement between you and us about the Products, and they replace any earlier agreements between us about the Products.

Changes

We may change or replace these Terms at any time, at our sole discretion. If a change is material, we will give at least 15 days' notice before the new terms take effect. We decide at our sole discretion what counts as a material change.

If you keep using the Products after a change takes effect, you agree to the revised Terms. If you don't agree to them, you are no longer authorized to use the Products.

Figma Kit and code resources

The Figma Kit is sold as the Basic, Plus or Premium package, each with a Personal, Team, Organization or Enterprise license. Code resources (Pro Blocks, Coded Templates and Agent Skills) are part of the Premium package. The Licensing agreement sets out what each license allows, how many people it covers, how to upgrade and the 14-day refund policy.

Figma Plugin

The Figma to shadcn/ui plugin is part of the Premium package. The Licensing agreement sets out how many people may use the plugin under each license.

DS Manager

DS Manager is a web app at manager.shadcndesign.com for building a shadcn/ui design system and publishing it as a shadcn/ui registry. When you use it, this part of the Terms applies together with the DS Manager section of the Licensing agreement.

Accounts

You sign in to DS Manager with your GitHub account. An account is for one person, and you can't share it or your login with anyone else. You are responsible for all activity on your account.

Plans and billing

DS Manager has three plans: Free, Pro and Lifetime. Pro is a monthly or yearly subscription. Lifetime is a one-time payment that gives you Pro for as long as we operate DS Manager, and we sell it only while the offer is available. The limits of each plan are the ones shown on the Plans tab in the app.

A subscription renews at the end of each period until you cancel it. You can cancel at any time in the customer portal (Manage billing in the app), and Pro stays active until the end of the period you paid for.

We don't refund Pro subscriptions or Lifetime purchases.

AI agent and credits

DS Manager includes a design agent that changes your design system when you ask it to. The agent runs on AI credits, which the app shows as AI usage in dollars, unless you use your own API key (see below):

• A Pro subscription includes AI credits every month.
• Lifetime includes AI credits once.
• A Free account gets a one-time trial credit.

Credits have no cash value, and you can't transfer them. They expire or reset as described in the app.

The agent's output can be wrong. You are responsible for reviewing what it changes before you rely on it.

To produce answers, the agent sends third-party AI model providers your messages, files you attach (images and PDFs), the design-system context it needs, screenshots of your canvas, and the content of links you paste, which our server fetches. The Privacy Policy lists the providers.

On Pro and Lifetime you can add your own API key for a supported AI provider. When the agent uses your key, that provider's terms and charges apply.

Your content

You keep ownership of the design systems and other content you create in DS Manager. You give us the rights we need to host, store, process, display and serve that content so we can provide the service.

Anyone who has the link can reach a registry you publish or a share link you create. A share link shows your whole design system, including the fonts and images you uploaded. Registry URLs and share links don't show your name or GitHub username. If you allow forks on a share link, people with the link can copy your design system into their own account. A fork does not include font files you uploaded. You can unpublish a registry and turn off or reset a share link at any time.

Only upload fonts, logos and images that you have the right to use and share.

Acceptable use

When you use DS Manager, you may not:

• Abuse the service or use it to harm other people.
• Try to get around plan limits or credit metering, for example by using several accounts.
• Scrape the service automatically or put load on it that harms the service.
• Publish or share content that is illegal or infringes other people's rights.
• Use DS Manager to build a competing product.

When a plan ends

When your Pro subscription ends, or a Lifetime purchase is refunded, your account moves to the Free plan:

• Your design systems and published registries stay in your account.
• Registries you published keep serving.
• Your registries stop serving Pro Blocks beyond the free set.
• While you hold more design systems or registries than the Free plan allows, you can't create new systems or publish registries until you upgrade or go back within the Free limits.
• Your own API keys stop working in the agent, and we delete the keys you saved within a day. You can add them again if you go back to Pro.
• AI credits you have left stay usable until they expire.

Availability and changes

DS Manager is a beta service. We may add, change or remove features, and we don't guarantee any level of uptime or availability.

Deleting your account

DS Manager has no self-serve option to delete your account. To delete your account and its data, contact us through the help page. You can delete your design systems and registries yourself in the app.
